1. Agreement
These Terms of Service govern your use of Helios (the “Service”) operated by Helios Works (“Company,” “we,” “us”). By using the Service, you agree to be bound by these Terms.
2. The Service
Helios is an AI-native Work OS comprising 14 modules. The current scope of shipped functionality is documented on the marketing site; planned-but-not-shipped functionality is honestly disclosed at /changelog and the relevant module pages.
3. Your account
You are responsible for safeguarding the credentials used to access your account, and for any activity under your account. If you suspect unauthorized access, contact security@heliosworks.com.
4. Acceptable use
You agree not to:
- Use the Service for illegal purposes.
- Attempt to access another tenant’s data without authorization.
- Probe, scan, or test the Service’s vulnerability except via the disclosure process at /security.
- Send spam through the Service’s email infrastructure.
- Train models on data that isn’t yours, where that processing would violate the source’s terms.
5. AI usage
The Helios AI agent operates the same UI your team uses, bound by the same permission model. You are responsible for:
- The permissions you grant to AI agents.
- Reviewing dangerous-action proposals before approving.
- The outcomes of any approved AI actions.
We log every AI action for the retention period defined at /security#audit.
6. Subscription, billing, cancellation
Pricing is published at /pricing. Subscriptions auto-renew unless cancelled. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial periods.
You may export your data at any time via the SaaS console or the export API. After cancellation, data is retained for 30 days then permanently deleted.
7. Service availability
We target 99.9% uptime for Business-tier customers, 99.95% for Enterprise (custom). Service status is published at status.heliosworks.com. Downtime credit is calculated per the Master Services Agreement (Enterprise) or pro-rated as described at /pricing.
8. Data ownership
You own the data you put into the Service. We have a limited license to process it solely to provide the Service. We do not train any model on your data without explicit opt-in.
9. Intellectual property
We own the Service code, design, and brand assets. You may use the Helios brand only as described at /brand.
10. Termination
Either party may terminate the agreement for convenience with 30 days’ notice. We may terminate immediately for breach of Section 4 (Acceptable Use) or non-payment after 14 days’ notice.
11. Warranties
The Service is provided “as is” without warranty. We do not warrant the Service will be uninterrupted, error-free, or that it will meet your specific requirements beyond the SLA in your subscription tier.
12. Limitation of liability
To the maximum extent permitted by law, Helios Works’ aggregate liability arising from or related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.
13. Governing law + dispute resolution
These Terms are governed by jurisdiction TBD by counsel. Disputes are resolved by arbitration or court — TBD by counsel.
14. Changes
We may modify these Terms; material changes are announced 30 days before they take effect.
